Terms of Use

1. Acceptance of Terms

These Terms of Use (the “Terms”) constitute a legally binding agreement between you and SkyWealth Technologies Ltd., a company incorporated in Hong Kong with registration number 76749133, located at Stanley Street 50, Level 7, Suite C, Central and Western District, Hong Kong. By downloading, accessing, or using the SkyWealth mobile application or web platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must cease using the platform immediately.

2. License to Use

SkyWealth Technologies Ltd. grants you a limited, non-exclusive, non-transferable, and revocable license to use the SkyWealth application and platform strictly in accordance with these Terms. The platform provides access to automated financial trading services, allowing users to automate investment strategies through algorithms integrated with their broker accounts.

SkyWealth retains full ownership of all intellectual property rights related to the platform, including but not limited to software, algorithms, and all content provided through the service.

3. Permitted Use and Prohibited Conduct

Your use of the platform must comply with all applicable laws and regulations. The platform is intended for personal, private use for automating financial investments. You agree not to:

• Share your account credentials with third parties or allow unauthorized persons to use your account.
• Modify, adapt, reverse engineer, decompile, or attempt to derive the source code of the software.
• Engage in illegal activities, including but not limited to fraud, money laundering, or unauthorized financial trading practices.
• Upload or transmit any harmful software, including viruses or malware, that could damage or impair the platform’s functionality.
• Use the platform to infringe upon the intellectual property or privacy rights of others.

Violation of any of these terms may result in suspension or termination of your access to the platform.

4. Account Registration and Security

To access the platform, you must create an account by providing accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

SkyWealth shall not be liable for any losses resulting from unauthorized access to your account due to your failure to maintain the confidentiality of your login information. If you suspect any unauthorized use of your account, you must notify SkyWealth immediately via the Support Ticket System available on the platform.

5. Intellectual Property Rights

All intellectual property rights related to the platform, including the software, designs, logos, and content, are the property of SkyWealth Technologies Ltd. or its licensors. You are granted a limited right to use the platform in accordance with these Terms, but you may not:

• Copy, distribute, modify, or create derivative works based on the platform.
• Use the platform for any commercial purposes outside of its intended use for personal financial automation.

Any unauthorized use of SkyWealth’s intellectual property may result in legal action and the termination of your account.

6. Financial Disclaimer and Risk Acknowledgment

SkyWealth Technologies Ltd. is a software provider and does not offer financial advice, investment guidance, or guarantee profitability. The platform provides tools for automated trading, but users are solely responsible for any decisions made based on the algorithms’ performance.

You acknowledge that:

• All financial investments involve risk, including the loss of the entire principal amount invested.
• SkyWealth is not responsible for any losses resulting from algorithmic trading, market volatility, or external financial conditions.
• The performance of the platform is dependent on the broker selected by you, and SkyWealth is not liable for any broker-related issues.

It is essential that you understand the risks associated with automated financial trading before using the platform.

7. SkyGuarantee Program

SkyWealth offers the SkyGuarantee, an additional layer of assurance regarding your automated investments. Under the SkyGuarantee, users will only be charged service fees when profits are generated by the platform’s algorithms. If no profits are realized during a given period, users may be charged no fees or a reduced fee of up to 30% of the applicable charges.

Important: The SkyGuarantee is not a financial guarantee. It only pertains to the fee structure based on algorithmic performance. Market conditions and investment risks are inherent, and SkyWealth does not assume liability for any losses incurred by users.

8. Payment and Billing

SkyWealth operates on a subscription basis. Users are required to maintain an active subscription to continue using the platform. The subscription fees will be billed monthly in advance, and additional fees may apply based on API usage, server maintenance, or other services provided by SkyWealth.

In the event of non-payment, SkyWealth reserves the right to suspend or terminate your account. All payments are non-refundable except as required by law.

9. Updates and Modifications

SkyWealth may release updates, patches, or new versions of the platform to improve performance, fix bugs, or comply with legal and regulatory requirements. By using the platform, you agree to automatically receive and install any updates provided by SkyWealth.

SkyWealth reserves the right to modify these Terms at any time. You will be notified of any significant changes, and continued use of the platform will constitute your acceptance of the updated Terms.

10. Data Privacy and Protection

SkyWealth Technologies Ltd. is committed to protecting your personal data in compliance with applicable data protection laws. Your data will be collected and processed in accordance with the SkyWealth Privacy Policy, which outlines how your information is used and stored. You can review the Privacy Policy on our website or platform.

11. Customer Support

SkyWealth provides customer support via a ticketing system available directly within the platform. Users can submit a ticket for any technical, billing, or account-related issues. Our support team will respond to your inquiries within 24 hours during business days. For high-priority concerns, additional support options may be available based on your subscription tier.

To access support, navigate to the Support section of the platform and create a new ticket. Each inquiry will receive a unique ticket number for tracking and communication purposes.

12. Termination of Service

SkyWealth reserves the right to suspend or terminate your account at any time for violations of these Terms or any other misconduct. In the event of termination, your access to the platform will be immediately revoked, and you must cease all use of the platform.

Additionally, if you no longer wish to use the platform, you may cancel your account at any time through the Account Settings section. SkyWealth is not liable for any refunds for unused portions of your subscription.

14. Limitation of Liability

To the maximum extent permitted by law, SkyWealth Technologies Ltd. shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of the platform, including but not limited to financial losses, loss of data, or business interruptions.

SkyWealth’s total liability for any claims related to these Terms or the platform shall not exceed the total amount paid by you for the use of the platform in the six months preceding the event giving rise to the claim.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. Any disputes arising from these Terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
